Overview
Welcome to ZANSHO. "We," "us," and "our" refer to Zansho Enterprise (Pty) Ltd, trading as Zansho Distributors ("Zansho"). Zansho operates this store and website, including all related information, content, features, tools, products, and services, to provide our Reseller Community with a reliable B2B wholesale sourcing experience (the "Services").
These Terms of Service ("Terms"), together with our Privacy Policy, Shipping Policy, Warranty Policy, and Returns & Refund Policy, describe your rights and responsibilities when you use the Services.
Please read these Terms carefully they include important information about your legal rights, warranty disclaimers, and limitations of liability.
By visiting, interacting with, or using our Services (via WhatsApp, our website, or otherwise), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use or access our Services.
Section 1 — Access and Account
By agreeing to these Terms, you confirm that you are at least 18 years old, or the age of majority in your province of residence, and that you have the legal capacity to enter into a binding agreement on behalf of yourself or the business you represent.
To use the Services including browsing our catalog or placing an order you may be asked to provide information such as your name, business name, registration number (where applicable), delivery address, contact details, and payment information. You confirm that all information you provide is accurate, current, and complete.
You are solely responsible for the security of your WhatsApp account, order history, and any login credentials associated with our platform, and for all activity conducted under your account. You may not transfer, sell, or share your reseller account with any other person or business.
Section 2 — Our Products
We make every effort to accurately represent the products in our catalog. However, colors, finishes, and product appearance may vary from what's shown in photos due to screen settings, lighting, and device differences.
We do not warrant that the appearance or specifications of any product will be identical in every respect to how it's depicted online or in WhatsApp catalogs.
Product descriptions, pricing, and availability are subject to change at any time without notice. We reserve the right to discontinue any product, limit quantities, or restrict sales to any person, region, or reseller category at our sole discretion for example, to manage stock allocation fairly across our Reseller Community.
Section 3 — Orders
Placing an order whether via our website or WhatsApp constitutes an offer to purchase. Zansho reserves the right to accept or decline any order at its discretion. Your order is only confirmed once Zansho sends acceptance, and full payment must reflect in our account before an order is processed and dispatched.
Please review your order carefully before submitting, as we may be unable to accommodate cancellations once an order is confirmed. If we decline, amend, or cancel an order, we'll notify you via the contact details provided at checkout.
Reseller Acknowledgment: You confirm that goods purchased from Zansho are intended primarily for resale, business use, or distribution not solely for personal or household consumption. This is a core part of our B2B relationship and affects the pricing, MOQs, and terms extended to you.
Returns and exchanges are handled solely in accordance with our Returns & Refund Policy (Section 12 of this document).
Section 4 — Prices and Billing
Prices, discounts, and bulk/tiered pricing (Bronze/Silver/Gold) are subject to change without notice, including due to exchange rate fluctuations given our international sourcing. The price charged will be the price in effect at the time your order is placed and confirmed.
Unless stated otherwise, posted prices exclude VAT (where applicable), shipping, handling, and any customs or import charges on sourced goods.
Wholesale pricing offered to our Reseller Community may differ from any pricing shown elsewhere, including on third-party platforms.
You agree to provide accurate and current billing, payment, and account information, and to promptly update us if any of this changes including your banking details for refunds/credits, contact number, or delivery address so we can complete transactions and reach you when needed.
You confirm that:
- Any payment method or banking details you provide are accurate and belong to you or your authorized business;
- You are authorized to make payment on behalf of your business where applicable; and
- You will settle all amounts due at the posted price, including delivery charges, handling fees, and any applicable taxes.
Section 5 — Shipping and Delivery
Zansho ships nationwide from our Johannesburg hub via PAXI, The Courier Guy, and PUDO.
- Processing: Orders are processed within 24 hours of payment confirmation.
Delivery Timeline: 1–3 business days nationwide; remote or outlying areas may require an additional 1–2 business days. - Shipping Cost: Calculated at checkout, or quoted as a flat bulk rate via WhatsApp. Orders over R1,200 qualify for free delivery. A R50 handling and packaging fee applies and is absorbed by Zansho.
- Tracking: A tracking number and courier link is sent via WhatsApp or email once your order dispatches.
All delivery times are estimates and are not guaranteed. We are not liable for delays caused by courier partners, load-shedding-related disruptions, customs processing (on sourced goods), or other events outside our reasonable control.
Risk of Loss: Zansho carries responsibility for your order until it is handed to the courier. Once dispatched, risk of loss passes to you. For bulk orders of R5,000 or more, we recommend adding shipping insurance — ask us before checkout.
Section 6 — Intellectual Property
Our Services including the Zansho name, logo, brand assets, website content, product photography, catalog layout, and the "Supply. Support. Scale." tagline are owned by Zansho Enterprise (Pty) Ltd and are protected under South African copyright, trademark, and intellectual property law.
These Terms permit you to use the Services for your business purposes as a reseller only. You may not reproduce, copy, or repurpose Zansho's branding, product photography, or catalog content to represent your own storefront as Zansho's official channel, nor use our trademarks without prior written permission.
Reseller Branding Rule: You may market and resell products sourced from Zansho under your own business name, but you may not use Zansho's name, logo, or branding in a way that misleads end-consumers into believing they are purchasing directly from Zansho head office.
All rights not expressly granted here are reserved by Zansho.
Section 7 — Optional Tools
From time to time, the Services may give you access to third-party tools (e.g., payment gateways such as Payfast, Ozow, or Yoco, or courier tracking portals) that we do not control or monitor.
We provide access to such tools "as is" and "as available," without warranties of any kind, and accept no liability arising from your use of them. Use of any third-party tool is at your own risk, and you should review that provider's own terms before use.
Section 8 — Third-Party Links
Our Services may contain links to third-party websites, including supplier sites or payment processors. We do not review or endorse the content, accuracy, or practices of any third-party site. If you choose to visit a linked third-party site, you do so at your own risk, and any transaction or dispute arising there is between you and that third party.
Section 9 — Platform Relationship Disclosure
Zansho's website and store infrastructure may be powered by third-party e-commerce platforms (such as Shopify or Wix) to deliver the Services to you. However, all sales and purchases in our store are made directly with Zansho Enterprise (Pty) Ltd. Any such platform provider is not responsible for any aspect of sales between you and Zansho, including any injury, damage, or loss resulting from purchased products. You release any such platform provider from claims, damages, and liabilities arising from your transactions with Zansho.
Section 10 — Privacy Policy
All personal information collected through the Services is handled in accordance with our Privacy Policy and the Protection of Personal Information Act (POPIA). By using the Services, you acknowledge that you have read and understood our Privacy Policy.
Where our Services are hosted or supported by third-party platform providers, those providers may also process certain technical and usage data in order to operate and improve the Services. Review our Privacy Policy for full detail on how we and our partners use your personal information.
Section 11 — Feedback
If you submit reviews, suggestions, testimonials, or other feedback ("Feedback") including via WhatsApp, our website, or TikTok you grant Zansho a perpetual, royalty-free license to use, reproduce, and publish that Feedback for any purpose, including marketing and promotional use (e.g., testimonials in our content calendar or on our site).
You confirm that you own the rights to any Feedback you submit, and that it does not violate any third party's rights or contain unlawful, defamatory, or misleading content. We are under no obligation to keep Feedback confidential, compensate you for it, or respond to it, and we may remove Feedback at our discretion.
Section 12 — Returns & Refund Policy
Our Reseller-First philosophy means we resolve discrepancies quickly to protect your margins.
- Damaged on Arrival (DOA): Report within 48 hours of receipt. We arrange collection and replacement at our cost.
- Change of Mind: As a B2B distributor, we do not accept change-of-mind returns on bulk inventory once the seal is broken, given our high-velocity stock model.
- Defective Goods (within warranty): At our discretion, we will repair, replace, or if the item is out of stock - issue store credit.
- Refunds: Store credit is our preferred resolution to keep your inventory flow uninterrupted. A cash refund is only issued if a replacement cannot be provided within 14 days of the return.

Section 13 — Errors, Inaccuracies, and Omissions
Our catalog, pricing, or promotional content may occasionally contain typographical errors or omissions. We reserve the right to correct these, or to change, update, or cancel affected orders including after an order has been submitted without prior notice.
Section 14 — Prohibited Uses
You agree to use the Services lawfully only. You may not:
- Use the Services for any unlawful or malicious purpose;
- Violate any South African law, regulation, or municipal by-law;
- Infringe Zansho's intellectual property or that of others;
- Harass, defame, or abuse Zansho staff, suppliers, or other resellers;
- Transmit false, misleading, or fraudulent order or payment information;
- Send spam, unsolicited bulk messages, or phishing content through our WhatsApp channels;
- Impersonate Zansho, another reseller, or any other person or entity;
- Use bots, scrapers, or automated tools to extract catalog or pricing data without our written consent;
- Attempt to bypass, disable, or interfere with any security measures protecting our Services.
We reserve the right to suspend or terminate your access to the Services at any time, without notice, if we determine you have violated these Terms — including removal from our Reseller Community WhatsApp groups.
Section 15 — Automated Access & AI Agents
If you use, enable, or deploy any automated tool, bot, or AI agent ("Agent") to access or interact with our Services (e.g., to place orders, scrape pricing, or monitor stock), that Agent must:
- Clearly identify itself as automated in any request (not impersonate human interaction);
- Not attempt to bypass CAPTCHAs, rate limits, or other access controls;
- Respond truthfully if asked whether an interaction is automated;
- Comply with any request from Zansho to cease automated access.
We may restrict, throttle, or block Agent access to the Services at our discretion.
Section 16 — Termination
We may suspend or terminate your access to the Services, including removal from Reseller Community channels, at our sole discretion and without notice. You remain liable for all amounts due up to the date of termination.
Sections relating to Intellectual Property, Feedback, Disclaimer of Warranties, Limitation of Liability, Indemnification, Governing Law, and any other provision that by its nature should survive, will continue to apply after termination.
Section 17 — Disclaimer of Warranties
Information on our Services is provided for general purposes and, while we take care to keep it accurate, we do not warrant its completeness or accuracy. Any reliance you place on it is at your own risk.
Except as expressly stated in our Warranty Policy, the Services and all products offered through them are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, quality, or fitness for a particular purpose — except where such warranties are mandated by the Consumer Protection Act and cannot lawfully be excluded.
We do not guarantee that the Services will be uninterrupted, timely, secure, or error-free.
Section 18 — Limitation of Liability
To the fullest extent permitted by South African law, Zansho, its directors, officers, employees, affiliates, agents, and service providers will not be liable for any indirect, incidental, special, or consequential damages — including lost profits, lost revenue, or lost business opportunity — arising from your use of the Services or any product purchased through them, even if advised of the possibility of such damages.
Nothing in this section limits any liability that cannot lawfully be excluded under the Consumer Protection Act or other applicable South African law.
Section 19 — Indemnification
You agree to indemnify and hold harmless Zansho Enterprise (Pty) Ltd, its directors, officers, employees, and agents from any losses, damages, liabilities, or claims (including reasonable legal costs) arising from:
- Your breach of these Terms;
- Your violation of any law or third-party right; or
- Your access to or use of the Services, including your resale conduct toward your own end-customers.
Section 20 — Severability
If any provision of these Terms is found unlawful, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remainder of these Terms will remain in full force and effect.
Section 21 — Waiver; Entire Agreement
Our failure to enforce any provision of these Terms does not waive our right to enforce it later.
These Terms, together with our Privacy Policy, Shipping Policy, Warranty Policy, and Returns & Refund Policy, constitute the entire agreement between you and Zansho regarding your use of the Services, superseding any prior agreements or understandings, whether oral or written.
Section 22 — Assignment
You may not transfer or assign your rights or obligations under these Terms without our prior written consent. Zansho may transfer or assign these Terms — for example, in connection with a business restructuring — without requiring your consent.
Section 23 — Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from these Terms or your use of the Services will be subject to the jurisdiction of the courts of Johannesburg, Gauteng.
Section 24 — Headings
Section headings are included for convenience only and do not affect the interpretation of these Terms.
Section 25 — Changes to These Terms
We may update these Terms from time to time by posting the revised version on our website or sharing it via our Reseller Community channels. Material changes will be communicated to you where required by law. Your continued use of the Services after changes are posted constitutes your acceptance of the updated Terms.
